LLP Registered Office Change
Every LLP incorporated needs to have a principal place of business activities called the registered office. The registered office of a LLP is that to which official correspondence and all formal legal notices addressed to the LLP will be sent. The registered office of a LLP can be situated anywhere in the India. In addition to a registered office, a LLP can have corporate office or administrative office or branch office.
A LLP can change its registered office address within or outside the local limits of any city, town and village or from one State to another State. The notice of change of the situation of the registered office must be given to Registrar of Companies within 30 days. The amendment in the LLP Agreement is also required to be filed with the Registrar of Companies within 30 days of the change of registered office.
Situation 1: SHIFT REGISTERED OFFICE WITHIN SAME ROC
Any change of the situation of the registered office of a LLP within the local limits of any city, town or village where such office is situated can be effected only passing a resolution approving the change and file the same with the Registrar within 30 days of passing such resolution
- Board Resolution: Hold a meeting and secure consent from all the partners for shifting the registered office of the LLP to another place.
- Authorization: Authorize any designated partner to file necessary application for change of Registered address with the registrar and to do any other matter related thereof.
- Filing: Intimate the Registrar of Companies about change of Registered Address within 30 days of decision by the partners by filing FORM 15 with prescribed fee to registrar of LLP.
- Incorporate Changes: Receipt of Address of the new registered office of the LLP must also be incorporated on all items of stationery, letterhead, Invoices sign boards and at all other places wherever it occurs.
Situation 2: Procedure For Shifting Registered Office Address Of LLP From Jurisdiction Of One Roc To Another Within Same State:
- BOARD RESOLUTION: Hold a meeting and secure consent from all the partners for shifting the registered office of the LLP to another place under the jurisdiction of another ROC within the same state.
- AUTHORISATION: Authorise any designated partner to file necessary application for change of Registered address with the registrar and to do any other matter related thereof.
- FILING: Intimate the Registrar of Companies about change of Registered Address within 30 days of decision by the partners by filing FORM 15 with prescribed fee to registrar of LLP.
- INCORPORATE CHANGES: Receipt of Address of the new registered office of the LLP must also be incorporated on all items of stationery. letterhead, Invoices sign boards and at all other places wherever it occurs.
